Terms of Service

Effective date: 2026-07-30

These Terms of Service (the “Terms”) are a binding agreement between you and the operator of the Vetta products and services (“we”, “us”, or “our”) governing your access to and use of the Vetta website, desktop and mobile apps, accounts, subscriptions, and optional APIs (collectively the “Services”). By registering, signing in, downloading, installing, or otherwise using the Services, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Services. Contact: [email protected].

The Services

Vetta is an open-source AI agent / AI workspace for real work—documents, code, analysis, automation, and connecting models, tools, knowledge, and plugins/skills. The brand character “Vivi” is part of the product identity, not a separate legal entity.

The Services may include local client features, accounts and subscriptions, model capabilities we provide or route, docs and community resources, and experimental features. Open-source components are also governed by their licenses; if a license conflicts with these Terms for that component, the license controls for that component.

We may modify, suspend, or discontinue features, or set limits on free or paid usage. We will provide reasonable notice of material changes via the product or website where practicable.

Definitions

  • “Input”: content you provide, including prompts, files, code, configuration, and instructions.
  • “Output”: content the Services generate or return.
  • “User Content”: Input, Output, and related data you store locally or in the cloud.
  • “Third-Party Services”: model providers, plugins, MCP servers, payments, sign-in, cloud vendors, and other services we do not control.

Eligibility and accounts

  • You represent that you are at least 18 years old and have capacity to agree to these Terms.
  • You must provide accurate registration information and keep it updated.
  • You are responsible for all activity under your account and must keep passwords, codes, session tokens, and API credentials confidential. Do not share, rent, or sell your account.
  • Notify us promptly of unauthorized use or security incidents and take reasonable steps (e.g., reset password).
  • Accounts registered with an organization email may be subject to that organization’s admin control or monitoring.
  • We may refuse registration, reclaim abusive usernames, or require additional verification.

AI Output and professional disclaimer

Important: Output is produced by probabilistic machine-learning models. It may be wrong, incomplete, outdated, biased, or similar to Output others receive, and may include plausible but false statements (“hallucinations”). Output does not represent our views, promises, or warranties.

Output is not legal, medical, financial, securities, tax, safety-engineering, or other professional advice. Independently verify results—especially before production use, public distribution, or decisions affecting safety or significant rights or property. Do not use Output as the sole basis for decisions with legal or similarly significant effects on individuals.

You are solely responsible for how you use Input and Output, the consequences, and compliance with industry rules, including whether regulated data may be submitted to AI services.

Acceptable use

You agree to follow applicable law and not to use the Services to engage in or facilitate:

  • Violations of law, regulation, export controls, sanctions, or regulatory requirements;
  • Infringement of intellectual property, privacy, publicity, personal data, trade secrets, or other rights;
  • Processing data you are not authorized to process (including others’ sensitive personal data or confidential information);
  • Malware, unauthorized system access, or instructions primarily intended to cause real-world cyber harm;
  • Fraud, phishing, impersonation, spam, or platform manipulation;
  • Child sexual exploitation material, or other content prohibited by law (violence, terrorism assistance, etc.);
  • Circumventing security, rate limits, quotas, billing, or safety systems;
  • Large-scale scraping, reverse engineering (except where mandatory law allows), or unauthorized automated extraction;
  • Using the Services to develop, train, or improve a competing model or product in unfair competition with Vetta (except as clearly allowed by open-source licenses);
  • Misrepresenting AI Output as solely human-authored where that would be fraudulent or unlawful;
  • Interfering with the Services or imposing unreasonable load on infrastructure.

We may investigate suspected violations and remove content, limit features, suspend or terminate accounts, or report to authorities. Serious or repeated violations may result in permanent bans without refund except where law requires otherwise.

User Content and intellectual property

To the extent permitted by law: you retain rights in Input; we assign to you any rights we may have in Output so that you own Output, subject to these Terms. Output is not guaranteed unique; others may receive the same or similar Output, which alone does not infringe your rights.

You grant us a worldwide, non-exclusive, royalty-free, limited license to process User Content only to provide and maintain the Services, secure them and prevent abuse, comply with law, and as described in the Privacy Policy. We do not use User Content to train or improve general-purpose foundation models unless you expressly opt into a separate program.

You represent that you have all rights needed for Input and that your use will not infringe third-party rights or break the law. You are solely responsible for the legality, accuracy, and appropriateness of User Content.

The Services (software, UI, docs, trademarks, brand assets, and non-open-source portions) and related IP remain ours or our licensors’. No rights are granted except as expressly stated in these Terms or applicable open-source licenses. Do not remove proprietary notices or misuse brands.

Feedback and suggestions may be used by us freely without compensation or obligation to you, without claiming ownership of your undisclosed proprietary code or trade secrets unless you grant written rights.

Third-Party Services and bring-your-own keys

The Services may integrate or let you connect third-party models, plugins, MCP servers, cloud storage, sign-in, and payments. Third-Party Services are provided independently under their own terms. We do not warrant their availability, quality, security, or policy changes.

If you use your own API keys or private model endpoints, you are responsible for that provider’s billing, limits, retention, and compliance. Keep keys secure and call APIs only within authorized scope.

Subscriptions, billing, and refunds

  • Some features require a paid subscription or metered billing. Prices, quotas, and feature differences are as shown on pricing or checkout pages and may vary by region, promotion, or tax.
  • Subscriptions typically auto-renew until canceled. Manage and cancel in the billing portal or as instructed; after cancellation, access generally continues through the paid period.
  • You authorize us or our payment processor to charge your selected method. Keep payment details current and pay applicable taxes.
  • Except where mandatory law or our written promise requires, fees are non-refundable once the corresponding Service is provisioned; unused quota is generally not cashed out.
  • Price changes will be announced with reasonable notice (e.g., at least 30 days) and apply from the next billing cycle; cancel before then if you disagree.
  • We may correct obvious pricing errors and refuse or cancel orders that appear fraudulent, abusive, or unlawful.
  • Enterprise plans, invoices, and custom deals may be governed by a written order or separate agreement, which controls over these Terms on conflicting points.

Free tiers, experimental features, and open source

We may offer free quotas, trials, or experimental (Alpha/Beta) features. Experimental features may be unstable, incomplete, or changed/removed at any time, and may have extra limits; you accept those risks.

Open-source builds may be used under their licenses. Cloud accounts, proprietary model routing, hosted services, and commercial support may not be included in open-source grants. Comply with the applicable license (e.g., MIT, Apache-2.0) when using open-source components.

Suspension, termination, and data

You may stop using the Services and request account deletion at any time. We may suspend or terminate access if you breach these Terms or policies; if we reasonably believe there is a security, legal, or abuse risk; if a free account is inactive for a long period (e.g., 12 consecutive months, after reasonable notice); or if we discontinue the Services.

On termination, your right to access the Services ends. Local Data remains on your devices for you to handle; cloud data is deleted or anonymized under the Privacy Policy. Termination for your breach may be without refund except where law requires. If we permanently discontinue a paid Service unilaterally, we will provide a reasonable refund or equivalent for the unused portion unless law or order says otherwise.

Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted or error-free operation, or accuracy of results. You use the Services at your own risk, including inherent risks of AI and software.

Limitation of liability

To the maximum extent permitted by law, we and our affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, punitive, or consequential damages, or loss of profits, goodwill, or data, arising from the Services or these Terms, under any theory, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability for all claims arising from the Services is limited to the amounts you paid us for the Services in the twelve (12) months before the event giving rise to the claim; if you paid nothing in that period, the cap is one hundred US dollars (US $100). Some jurisdictions do not allow certain limitations; in those places the limits apply only to the extent allowed.

Indemnity

To the extent permitted by law, you will defend and indemnify us against third-party claims, demands, and losses (including reasonable attorneys’ fees) arising from: (a) your User Content; (b) your breach of these Terms or law; (c) your misuse of the Services or infringement of others’ rights; or (d) your use of Third-Party Services.

Export and sanctions

You represent that you are not located in, organized under, or acting for a person or region restricted by applicable export control or sanctions laws, and will not use the Services for prohibited end uses. You agree to comply with all applicable export, re-export, and sanctions rules.

Governing law and disputes

These Terms are governed by the laws of mainland China, without regard to conflict-of-law rules, except where mandatory consumer protection laws in your place of residence require otherwise.

Disputes should first be resolved through good-faith negotiation. If unresolved, either party may bring an action in a court of competent jurisdiction where we are domiciled, or in arbitration if both parties agree in writing. You may also have other remedies required by local law.

General

  • Entire agreement: These Terms, the Privacy Policy, and policies we expressly incorporate are the entire agreement regarding the Services and supersede prior related agreements.
  • Changes: We may update these Terms; material changes will be posted with notice. Continued use means acceptance except where re-consent is required.
  • Severability: If a provision is unenforceable, the rest remains in effect and will be modified only as needed to reflect the original intent.
  • Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign them in connection with a business transfer.
  • Language: Chinese and English versions are provided. If they conflict, the Chinese version prevails for users primarily using the Chinese interface; otherwise the version you accepted when using the Services controls.
